Terms of Service

These Terms of Service ("Terms") form a binding agreement between you ("you", "your", or the "User") and Tomaž Pernovšek s.p. ("Journail", "we", "us", or "our"), the provider of the journail.app website and application (the "Service").

By creating an account, signing in, or otherwise using the Service, you confirm that you have read, understood, and accepted these Terms. If you do not accept these Terms, do not use the Service.

The Service is governed by Slovenian law and applicable European Union law. We are a sole proprietorship registered in the Republic of Slovenia.


2. What Journail Is

Journail is an AI-assisted personal alignment system that helps you plan your day, reflect on it, and build a long-term archive of your own thinking. The Service includes:

The AI used in the Service is described in our Privacy Policy and in our AI Disclosure notice. You are interacting with an AI system whenever you use the conversational features of Journail.


3. Eligibility and Account Creation

3.1 Age requirement

You must be at least 16 years old to use the Service. By using the Service you confirm that you meet this requirement.

3.2 Account approval

New accounts may require manual approval before activation, particularly during early access. We reserve the right to refuse account creation at our discretion, including where we suspect fraud, abuse, or breach of these Terms.

3.3 Account credentials

You are responsible for keeping your login credentials confidential. You agree to notify us immediately at info@journail.app if you suspect unauthorised access to your account. You are responsible for all activity carried out under your account except where the activity is the result of our gross negligence or wilful misconduct.

3.4 One account per person

Each individual may hold one personal account. Sharing of accounts between multiple people is not permitted.


4. Plans, Trials, and Pricing

4.1 Plans

We offer the following plans:

4.2 Free trial

We offer a 14-day free trial of Pro features, with no credit card required at sign-up. At the end of the trial, your account is automatically downgraded to the Free plan unless you have actively chosen to subscribe to a paid plan.

We do not auto-charge you at the end of the trial. This is a deliberate design choice and not a default that will silently change.

4.3 Billing

Paid subscriptions are processed by Paddle.com Market Limited ("Paddle") acting as our Merchant of Record. This means Paddle is the seller of record for your transaction. Paddle is responsible for collecting and remitting applicable taxes (including VAT), issuing invoices, and processing payments.

By subscribing, you agree to be bound by Paddle's customer terms and privacy policy in addition to these Terms.

4.4 Subscription periods and renewal

Monthly plans renew every month. Annual plans renew every twelve months. You will be reminded by email before any renewal charge. You can cancel at any time, and cancellation takes effect at the end of the current paid period.

4.5 Refunds

For consumers in the EU, the statutory right of withdrawal under Directive 2011/83/EU (Consumer Rights Directive) does not apply to digital content provided immediately at your request and with your consent (Art. 16(m)). When you start using the Service, you give such consent.

In addition, we offer a discretionary 14-day refund on first-time annual subscriptions if you contact info@journail.app within 14 days of payment. This goodwill policy does not affect any mandatory consumer rights you have under Slovenian or EU law.

4.6 Price changes

We may change the prices of paid plans. Existing paid subscribers will be notified by email at least 30 days before any price change takes effect, and the new price will only apply from the next renewal. You may cancel before the new price takes effect.


5. Acceptable Use

You agree to use the Service lawfully and respectfully. You will not:

We may suspend or terminate accounts that violate this section without prior notice where the violation is serious or where required to protect other users.


6. Your Content

6.1 You own your content

Everything you write — journal entries, goals, tasks, conversations with the AI — is yours. You retain all rights, title, and interest in your content. We claim no ownership.

6.2 Limited licence to operate the Service

You grant us a non-exclusive, worldwide, royalty-free licence to host, store, process, transmit, display, and create technical copies of your content solely for the purpose of providing the Service to you. This licence ends when you delete the content or your account, except for backups that are purged on the schedule described in our Privacy Policy.

6.3 We do not train AI on your content

We do not, and we do not allow our AI sub-processors to, use your journal entries, goals, tasks, or conversations to train, fine-tune, or evaluate any AI model. This is contractually enforced with each AI provider. See the Privacy Policy for details.

6.4 Your responsibility for content

You are responsible for the lawfulness of your content. You confirm that your content does not infringe the rights of third parties. We are not obliged to monitor your content, but we may review and remove content that violates these Terms or applicable law.

6.5 Backup is your responsibility

While we operate redundant, encrypted backups, you are encouraged to export your archive periodically using the export feature (Settings → Export data). Journail is not a substitute for your own archival practice.


7. AI Features

7.1 You are interacting with an AI

Whenever you use the morning brief, evening debrief, archive search, or any conversational feature, you are interacting with an artificial intelligence system, not a human being. This is disclosed in line with Article 50 of Regulation (EU) 2024/1689 (the EU AI Act).

7.2 AI providers

We use third-party AI providers (currently OpenAI and Anthropic) as data processors. The full list and the terms under which they process your content are described in our Privacy Policy.

7.3 AI output is not professional advice

Responses generated by the AI in Journail are not medical, psychological, legal, financial, tax, or other professional advice. Do not rely on AI output for decisions that require qualified professional judgement. If you are in distress or in a mental health crisis, please contact a qualified professional or local emergency services.

7.4 AI may be wrong

Large language models can produce inaccurate, incomplete, or fabricated information ("hallucinations"). We do not warrant the correctness of AI output. You are solely responsible for any action you take based on AI suggestions.

7.5 No solely automated decisions with significant effect

The AI does not make decisions producing legal effects or similarly significant effects about you within the meaning of Article 22 GDPR. The AI suggests; you decide.

7.6 Fair use of AI features

AI features consume real costs on each request. To prevent abuse and runaway costs, we apply rate limits per plan. We may temporarily throttle or restrict AI features for accounts that exhibit unusual or automated patterns of use, after notifying you where reasonable.


8. Third-Party Integrations

8.1 Optional connections

You can connect Journail to Todoist and Google Calendar, and you can choose to receive emails from us. These integrations are optional and can be disconnected at any time in Settings.

8.2 Your relationship with third parties

When you authorise a third-party integration, you authorise us to access only the data necessary for the integration, using the OAuth scopes listed in the consent screen. Your use of those third-party services is governed by their own terms and privacy policies, which we do not control.

8.3 Discontinuation

A third-party provider may change, restrict, or discontinue its API. If this affects an integration in Journail, we will inform you and, where possible, replace the affected feature. We are not liable for the unavailability of third-party services.


9. Service Availability and Changes

9.1 Availability

We aim for high availability but do not guarantee that the Service will be uninterrupted, error-free, or secure against all threats. Planned maintenance will be announced in advance where reasonably possible.

9.2 Changes to the Service

We continuously improve the Service. We may add, change, or remove features. Material changes that adversely affect paying users will be communicated by email at least 30 days in advance, and you will have the option to cancel before the change takes effect.

9.3 Beta features

Some features may be marked as "beta" or "early access". These are provided as-is, may change or be removed without notice, and are excluded from any availability commitment.


10. Intellectual Property

10.1 Our intellectual property

The Service, including its software, design, brand, logos, name, and content (other than your own user content), is owned by Tomaž Pernovšek s.p. and is protected by copyright, trade mark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service in accordance with these Terms.

10.2 Feedback

If you send us feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use them without obligation to you. Feedback never includes your journal content.

10.3 Trade marks

"Journail" and the Journail logo are trade marks of Tomaž Pernovšek s.p.. You may not use them without our prior written permission, except for fair, descriptive use.


11. Termination

11.1 Your right to terminate

You can terminate your account at any time via Settings → Delete account, or by writing to info@journail.app. Termination is permanent. After termination, your data is deleted in accordance with the retention schedule in our Privacy Policy.

11.2 Our right to suspend or terminate

We may suspend or terminate your account if:

Where reasonable, we will give you notice and an opportunity to remedy the breach. For serious or repeated breaches, we may terminate immediately.

11.3 Effect of termination

Termination ends your right to use the Service. Sections that by their nature should survive termination — including ownership, indemnity, limitation of liability, and dispute resolution — survive.

11.4 Discontinuation of the Service

If we discontinue the Service entirely, we will give you at least 60 days' notice by email and ensure that your data export remains available throughout the notice period. Pro-rata refunds will be issued for unused, pre-paid subscription time.


12. Warranties and Disclaimers

To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available". We do not warrant that the Service will:

13. Limitation of Liability

13.1 General

To the maximum extent permitted by applicable law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, goodwill, or business opportunities, even if we have been advised of the possibility of such damages.

13.2 Cap on liability

Our total aggregate liability arising out of or related to the Service in any 12-month period is limited to the greater of: (a) the amount you paid us in the 12 months preceding the event giving rise to liability, or (b) one hundred euros (€100).

13.3 What this section does not limit

Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for:

15. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date reflects the most recent revision. Material changes will be communicated by email and an in-app notice at least 30 days before they take effect.

If you do not agree to the updated Terms, you may terminate your account before the effective date. Continued use of the Service after the effective date constitutes acceptance.


16. Governing Law and Disputes

16.1 Governing law

These Terms and any dispute arising from them are governed by Slovenian law, without regard to its conflict-of-laws rules. For consumers, this does not deprive you of the protection of mandatory provisions of the law of your country of habitual residence.

16.2 Jurisdiction

The courts of Ljubljana, Slovenia have exclusive jurisdiction over disputes arising from these Terms. For consumers, this does not affect your right to bring proceedings in the courts of your country of habitual residence.

16.3 Online dispute resolution

The European Commission provides an Online Dispute Resolution platform for consumers, available at: https://ec.europa.eu/consumers/odr. Our contact email for that purpose is info@journail.app.

We are not committed to using an alternative dispute resolution body, but we are open to good-faith resolution before any court proceedings.


17. Miscellaneous

17.1 Entire agreement

These Terms, together with the Privacy Policy and any documents referenced in them, constitute the entire agreement between you and us regarding the Service.

17.2 No waiver

A failure to enforce any right under these Terms is not a waiver of that right.

17.3 Severability

If any provision is held unenforceable, the remaining provisions remain in effect, and the unenforceable provision is to be interpreted to come as close as possible to the original intent.

17.4 Assignment

You may not assign your rights under these Terms without our written consent. We may assign our rights and obligations to a successor in connection with a merger, acquisition, or business transfer, subject to applicable law.

17.5 Force majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, war, terrorism, civil unrest, government action, internet outages, cyber attacks affecting major infrastructure, and pandemics.

17.6 Notices

We send notices to the email address associated with your account. You may send notices to us at info@journail.app.

17.7 Language

These Terms are originally drafted in English. Translations are provided for convenience. In the event of discrepancy, the English version prevails, except where mandatory law requires otherwise.
